Raiffeisen Bank International Secures Control of Addiko Bank After Shareholder Acceptance
Raiffeisen Bank International (RBI) reached the 55 % ownership threshold for Addiko Bank after shareholders representing 55.58 % of the shares accepted its takeover offer, surpassing the required level and effectively gaining control of the lender. The acceptance was recorded early on the day the deadline for revoking earlier commitments expired, and the offer remains open until 17:00 on 29 July.
Nova Ljubljanska Bank (NLB) had presented a higher bid of €37 per share, but failed to persuade enough shareholders, securing only about 30 % support. The contest reflects the strategic importance of Addiko Bank: RBI aims to re‑enter the Slovenian market and expand its regional footprint, while NLB seeks to strengthen its presence in the former Yugoslav region, especially Croatia.
