Raiffeisen gains control of Addiko Bank

Overview
In mid‑June 2026 Slovenia’s Nova Ljubljanska banka (NLB) raised its cash offer for Addiko Bank to €37 per share, outbidding Austria’s Raiffeisen Bank International (RBI), which had offered €26.50. Both bidders initially targeted a 75 % acceptance threshold.
In early July RBI, already holding just over 50 % of Addiko, asked Austria’s regulator to lower the mandatory acceptance level to the statutory minimum of 50 %. The Austrian Securities Commission approved a reduction to just over 55 % on 10 July, and RBI publicly aligned its tender conditions with NLB’s move. NLB responded by lowering its own threshold to just over 50 % and extending its offer while retaining the €37 price.
By 13 July RBI had reached 51.28 % of voting shares, narrowly missing the 55 % success level, while NLB kept its lowered threshold and continued to pursue entry into the Croatian market.
On 23 July shareholders representing 55.58 % of Addiko accepted RBI’s bid, surpassing the required threshold and giving RBI effective control of the lender. NLB secured only about 30 % support and could not prevent the takeover.
Following the acceptance, RBI completed its voluntary public offer, with most members of Addiko’s management board selling shares at the €26.50 price. Deputy chairman Johannes Prohsch, however, took the higher €37 offer from NLB. The acquisition now awaits final approval from the Austrian competition authority.
RBI is also reshaping the combined group: it plans to carve out Addiko’s operations in Bosnia and Herzegovina, Serbia and Montenegro, and sell the Bosnian units (Addiko Bank Sarajevo and Addiko Bank Banja Luka) to the Serbian Alta Group owned by businessman Davor Macura. The offer remains open until 29 July.
