Samsung Biologics launches CHF 1.46 billion tender offer for PolyPeptide Group

Samsung Biologics has launched a public tender offer to acquire the Swiss-based peptide contract development and manufacturing organization (CDMO), PolyPeptide Group. The acquisition is being conducted through a Swiss subsidiary, Samsung Peptide AG.

The offer price is set at CHF 44.31 per share in cash, which represents a 40% premium over the closing price on April 10, 2026, and an 11.6% premium over the 60-day volume-weighted average price prior to the pre-announcement. If all shares are tendered, the total transaction value will reach approximately CHF 1.46 billion.

PolyPeptide Group’s Board of Directors has unanimously recommended that shareholders accept the offer, a move supported by a fairness opinion from IFBC AG. Additionally, the company’s largest shareholder, Draupnir Holding B.V., which holds approximately 55.65% of the shares, has committed to tendering all its holdings.

The tender offer period is scheduled to run from September 15 to October 12, 2026. The transaction is subject to a minimum acceptance threshold of 66.67% and regulatory approvals. Upon successful completion, Samsung Biologics intends to pursue the delisting of PolyPeptide Group from the SIX Swiss Exchange.
