Samsung Biologics expansion and PolyPeptide acquisition

Overview

Samsung Biologics has launched a public tender offer to acquire the Swiss-based peptide contract development and manufacturing organization (CDMO), PolyPeptide Group, through its subsidiary Samsung Peptide AG. The offer is set at CHF 44.31 per share in cash, representing a 40% premium over the closing price on April 10, 2026. If all outstanding shares are tendered, the total transaction value will reach approximately CHF 1.46 billion.

The PolyPeptide Group board has unanimously recommended the offer, supported by a fairness opinion from IFBC AG. The largest shareholder, Draupnir Holding B.V., which holds approximately 55.65% of shares, has committed to tendering its entire stake. To finalize the acquisition, Samsung Biologics must secure a minimum acceptance threshold of 66.67% of issued shares and obtain necessary regulatory approvals. The tender offer period is scheduled to run from September 15 to October 12, 2026. Following a successful tender, the company intends to pursue a squeeze-out of minority shareholders and delist PolyPeptide Group from the SIX Swiss Exchange.

This acquisition is funded by a previously announced 3.009 trillion KRW rights offering. Approximately 2.71 trillion KRW is allocated to the PolyPeptide transaction to diversify Samsung Biologics’ portfolio into high-growth peptide therapeutics, such as GLP-1 medications for obesity and diabetes. The remaining 295 billion KRW will support the expansion of the company’s second bio-campus in Songdo, Incheon, through the construction of plants 6, 7, and 8 to increase global antibody production capacity to 1.385 million liters.
