Schneider Electric faces regulatory demands in Shelly acquisition

The Bulgarian Financial Supervision Commission (FSC) has requested additional information and clarifications from Schneider Electric regarding its proposed takeover of Shelly Group. The regulator's decision follows the registration of the offer by SE 2026 A, a subsidiary of Schneider Electric.

Shelly Group confirmed that the requested supplements do not affect the essential terms of the offer or the acquisition price of €70.00 per share. The company's board of directors continues to support the deal, citing a fair value assessment from Freitag & Co.

Schneider Electric has 20 business days to submit the revised documentation. Once the FSC approves the updated version, the acceptance period for shareholders will begin. The parties currently aim to complete the acquisition by the first quarter of 2027.
