Schneider Electric acquisition of Shelly Group
Overview
Schneider Electric has entered into an investment agreement to launch a voluntary public takeover of the Bulgarian IoT and smart home provider, Shelly Group. The all-cash offer is valued at approximately 1.2 billion euros, set at 70 EUR per share, which represents a premium of roughly 22% to 27% over recent reference prices.
The deal is supported by Shelly Group’s founders, Dimitar Dimitrov and Svetlin Todorov, who control about 57% of the company. Dimitrov has committed to selling his approximately 29% stake while intending to reinvest a portion of the proceeds and remain Co-CEO alongside Wolfgang Kirsch.
To complete the acquisition, Schneider Electric must obtain necessary regulatory approvals and reach a minimum acceptance threshold of 95% of outstanding shares. If this threshold is met, Schneider Electric intends to proceed with a mandatory takeover of the remaining shares.
Following the registration of the offer by SE 2026 A, a subsidiary of Schneider Electric, the Bulgarian Financial Supervision Commission (FSC) has requested additional information and clarifications. Shelly Group confirmed that these requested supplements do not affect the essential terms of the offer or the acquisition price. Schneider Electric has 20 business days to submit the revised documentation. If approved, the parties aim to complete the acquisition by the first quarter of 2027, with Schneider Electric intending to maintain Shelly Group’s headquarters and workforce in Bulgaria for at least three years.
