Schneider Electric to acquire Shelly Group for 1.2 billion euros

Schneider Electric has entered into an investment agreement to launch a voluntary public takeover offer for the Bulgarian IoT and smart home provider, Shelly Group. The all-cash offer is set at 70 EUR per share, valuing the company at approximately 1.2 billion euros. This price represents a premium of roughly 22% to 27% over recent reference prices.

The deal is supported by Shelly Group's founders, Dimitar Dimitrov and Svetlin Todorov, who together control about 57% of the company. Dimitrov has committed to selling his approximately 29% stake and intends to reinvest a portion of the proceeds back into Shelly Group, while remaining Co-CEO alongside Wolfgang Kirsch.

For the acquisition to succeed, Schneider Electric must acquire at least 95% of Shelly Group's outstanding share capital and obtain necessary regulatory approvals from authorities such as the Bulgarian Financial Supervision Commission. If completed, the transaction is expected to close in the first quarter of 2027. Schneider Electric intends to maintain Shelly Group's headquarters, locations, and workforce in Bulgaria for at least three years following the deal.
