SEC registration strengthens Securitize; MFA backs modernized offering rules

Securitize Capital LLC, a subsidiary of the tokenization platform Securitize, received effective registration as an investment adviser with the U.S. Securities and Exchange Commission on July 22. The move ends its prior exempt‑reporting status, adds disclosure and compliance duties, and expands Securitize’s regulated U.S. platform, which already includes a broker‑dealer, an alternative trading system and token‑asset services managing more than $5 billion. Co‑founder and CEO Carlos Domingo said the registration supports institutional investors seeking tokenized securities solutions.

The Mortgage Finance Association (MFA) submitted a comment letter supporting the SEC’s proposal to modernize the registered offering framework. MFA argues the reforms would create a uniform federal registration system, preempt costly state requirements, and update Rule 105 of Regulation M, thereby lowering costs and speeding capital formation for U.S. companies. MFA President and CEO Bryan Corbett highlighted the potential benefits for American businesses.
