Securitize tokenized IPO expands with SEC registration

Overview
After SEC clearance of Securitize’s Form S‑4 and a merger with Cantor Equity Partners II, the combined entity listed on the NYSE as SECZ in late June 2026, raising about $400 million and issuing $295 million of tokenized Class A shares on Solana and Avalanche. The on‑chain tokens mirror the NYSE shares, carry identical legal rights and are offered to eligible U.S. investors via Securitize’s regulated platform.
On 15 July 2026 Cantor Fitzgerald announced a partnership with Securitize to create a blockchain‑based IPO platform, combining Cantor’s equity‑capital‑markets expertise with Securitize’s digital‑asset infrastructure. The joint effort aims to issue shares as on‑chain tokens at the primary issuance stage, shortening settlement times, lowering costs and improving transparency while remaining fully compliant with securities regulations.
On 22 July 2026 Securitize Capital LLC received effective registration as an investment adviser with the SEC, ending its prior exempt‑reporting status and adding disclosure and compliance obligations. The registration broadens Securitize’s regulated U.S. platform, which already includes a broker‑dealer, an alternative trading system and token‑asset services managing more than $5 billion. Co‑founder and CEO Carlos Domingo said the move supports institutional investors seeking tokenized securities solutions.
Around the same time the Mortgage Finance Association submitted a comment supporting the SEC’s proposal to modernize the registered offering framework, arguing that uniform federal registration and updates to Regulation M would lower costs and accelerate capital formation for U.S. companies.
