Skydance completes $111 billion merger of Paramount and Warner Bros. Discovery

The $111 billion merger between Paramount and Warner Bros. Discovery has officially closed, resulting in the formation of a new media conglomerate operating under the Skydance name. The transaction, which includes debt, places major assets such as CBS, CNN, HBO, TNT, and Paramount+ under a single corporate umbrella.

David Ellison will serve as chair and co-CEO, sharing leadership duties with Ynon Kreiz, the former CEO of Mattel. While Ellison focuses on long-term strategy, technology, and creative direction, Kreiz will oversee day-to-day operations and the complex integration of the two entities. The merger has prompted concerns regarding potential restructuring and layoffs, particularly within the sports divisions of CBS Sports and TNT Sports, as the company targets approximately $6 billion in cost savings.

As part of a state consent decree, the combined company is subject to specific theatrical output requirements. For 2027 and 2028, the entity must release at least 30 theatrical films annually in the United States, with a requirement for at least 20 wide releases per year during the first two commitment years. The deal also impacts streaming strategies, with plans to potentially market HBO Max and Paramount+ together in bundles.
