Private health insurers Dôvera and Union, the latter owned by the Penta investment group, are set to merge with the state-run Všeobecná zdravotná poisťovňa (VšZP), cutting the number of Slovak health insurers from three to two and creating two dominant players. The parties rely on a 2020 ruling of the Court of Justice of the European Union that public health insurance in Slovakia is not a business activity, thereby exempting the merger from competition law. This legal argument was used to avoid a formal notification to the competition authority. The deal is described as one of the largest in the Slovak health‑insurance market.

Members of Slovakia’s parliament, including MEP Veronika Cifrová Ostrihoňová and MP Oskar Dvořák, have written to the European Commission urging it to examine the merger’s impact on market competition and patient rights, noting that the Commission now has exclusive competence to assess the transaction.
