Overview
In July 2026, Penta Investments-backed Dôvera signed a share-transfer agreement with Union’s shareholder, Achmea B.V., to acquire Union’s business. The transaction is to be financed entirely from Dôvera’s own funds. Following the agreement, Dôvera and Union submitted applications for pre-notification to the European Commission and requested approval from the Health Care Surveillance Authority (ÚDZS) to acquire 100 percent of Union’s shares.
The Slovak Competition Authority announced it would not formally assess the transaction, invoking a 2020 EU Court of Justice ruling that public health insurance is exempt from competition law. Consequently, the authority is acting only as a passive observer. Parliamentarians, including MEP Veronika Cifrová Ostrihoňová and MP Oskar Dvořák, have urged the European Commission to examine the deal’s impact on competition and patient rights.
The merger will reduce the number of Slovak health insurers from three to two, creating a market dominated by the state-run Všeobecná zdravotná poisťovňa (VšZP) and a single large private insurer, Dôvera. Matúš Jurových, Director General of VšZP, noted that while the acquisition will not fundamentally impact VšZP’s operations, it will intensify competition.
Union policyholders are scheduled for automatic transfer to Dôvera on 1 January 2027, unless they request a switch to VšZP by 30 September 2026. While Union’s CEO Michal Špaňár stated services will remain unchanged, critics such as MP Marek Krajčí and doctors’ union head Peter Visolajský warned that the concentration could create a “factual duopoly” and grant Penta excessive market power.
