Solar Industries India to acquire Omnia Holdings for R21.8 billion

Solar Industries India Limited has announced a firm intention to acquire South Africa’s Omnia Holdings Limited in an all-cash transaction valued at R21.8 billion (approximately $1.4 billion). The deal is being executed through Solar SA Investments, a subsidiary of Solar Overseas Mauritius Limited, which is owned by the Indian-based Solar Industries.

Under the terms of the scheme of arrangement, Solar will acquire all issued ordinary shares of Omnia at R134.50 per share, representing a 14.3 percent premium over the previous closing price. Upon completion of the transaction, which is expected by early to mid-2027, Omnia will be delisted from the Johannesburg Stock Exchange (JSE) and A2X Markets.

The acquisition aims to create a scaled global mining solutions platform by combining Omnia’s expertise in mining explosives and agricultural nutrition with Solar’s industrial manufacturing footprint. Omnia operates through its BME division, focusing on mining explosives and industrial chemicals, and an agricultural arm specializing in crop nutrition and biological solutions.
