Overview
Solar Industries India Limited has announced its intention to acquire the South African conglomerate Omnia Holdings Limited in an all-cash transaction. The deal is valued at approximately R21.8 billion (roughly $1.36 billion to $1.4 billion) and will be executed through Solar SA Investments.
The acquisition offers a premium of approximately 14.3 percent over Omnia’s recent share prices. Upon completion of the scheme of arrangement, which is expected by early to mid-2027, Omnia is slated to delist from the Johannesburg Stock Exchange and A2X Markets.
The strategic goal of the merger is to establish a scaled, geographically diverse global mining solutions platform. By combining Solar’s industrial manufacturing footprint with Omnia’s expertise in mining explosives, industrial chemicals, and agricultural nutrition, the group aims to enhance access to critical markets and integrate the production of nitric acid and ammonium nitrate.
