Solar Industries to acquire South Africa’s Omnia for $1.36 billion

Solar Industries India Limited has announced a firm intention to acquire South African conglomerate Omnia Holdings in an all-cash transaction valued at approximately R21.8 billion (roughly $1.36 billion). The offer, made through the Indian group’s subsidiary Solar SA Investments, represents a significant premium to Omnia’s recent share prices on the Johannesburg Stock Exchange.

The acquisition aims to create a larger, geographically diverse explosives and initiating-systems group. For Solar Industries, the deal provides enhanced access to critical mining and agriculture markets, as well as integrated production of nitric acid and ammonium nitrate, which could reduce exposure to import and energy costs.

Omnia, which operates in 23 countries, will delist from the Johannesburg Stock Exchange and A2X Markets upon completion of the scheme of arrangement. The transaction remains subject to regulatory approvals and shareholder consent. Omnia CEO Seelan Gobalsamy noted that the deal provides a platform to accelerate the company’s ambition to become a global mining solutions business.
