Spanish Ministry of Finance denies IAE tax exemptions for business continuations

The Spanish Ministry of Finance has clarified that new companies may be denied the IAE tax exemption if they are deemed to be a continuation of an existing business rather than a true new start. Under Article 82.1.b of the local tax law, businesses starting operations in Spanish territory are typically exempt from IAE for the first two tax periods.

However, the Ministry has ruled that if a new entity uses the same assets, infrastructure, and facilities as a previous owner to conduct the same activity, it may be classified as a business transfer. This determination is based on the economic reality of the operation rather than the formal incorporation date or changes in name and ownership. This ruling specifically impacts entrepreneurs and companies taking over existing productive units, as failure to comply can result in the state demanding unpaid fees, interest, and potential penalties.
