Lufthansa wins bid for stake in TAP Air Portugal

The Portuguese government has selected Lufthansa Group to acquire a significant minority stake in the national carrier TAP Air Portugal. The winning bid is valued at approximately 1.201 billion euros, which was 16% higher than the competing offer from Air France-KLM. Lufthansa's proposal was an all-cash deal, whereas Air France-KLM proposed a combination of cash and shares.

Under the terms of the agreement, Lufthansa will initially acquire a 44.9% stake. An additional 5% is reserved for TAP employees, with Lufthansa holding the right to purchase these shares if they are not subscribed. The Portuguese state will retain a majority interest of at least 50.1% to preserve the airline's national identity and its strategic hub in Lisbon.

The transaction is expected to be finalized by 2028, pending regulatory approvals from bodies such as the European Commission. The deal includes plans for significant industrial investment, including fleet expansion to up to 130 aircraft and the development of maintenance and training facilities in Portugal. The integration aims to strengthen TAP's connectivity between Europe, Africa, and the Americas, particularly in the Brazilian market.
