Tata Sons explores potential listing to meet RBI regulations
Tata Sons has entered preliminary discussions with several banks to explore a potential share listing on stock exchanges. This move follows a decision by the Reserve Bank of India (RBI) to maintain the company’s classification as an upper-layer non-banking financial company (NBFC) after rejecting its application to surrender its core investment company registration.
To comply with RBI guidelines for upper-layer NBFCs, the Tata Sons board has resolved to initiate steps toward listing. However, any formal listing process remains subject to approval from the board and shareholders during the annual general meeting.
The proposal has triggered internal conflict within the Tata group. Tata Trusts, which holds a 66% majority stake, has expressed opposition to an IPO. Trustees have argued that the current private ownership structure allows the philanthropic organizations to operate according to values that a purely commercial, listed entity might not support. Recent reports indicate that Noel Tata and other stakeholders have formally advocated for the company to remain privately held.
