Delivery Hero boards recommend Uber takeover bid of 14.8 billion USD

The management and supervisory boards of Delivery Hero have officially recommended that shareholders accept a takeover bid from Uber Technologies. The offer consists of 41.50 euros in cash per share, valuing the German food delivery company at approximately 14.8 billion USD (12.77 billion euros).

To facilitate the merger and address competitive overlaps, Delivery Hero has reached a separate agreement to sell its operations in 14 markets to the investment firm SSW Partners LP for approximately 1.4 billion euros. These markets include Spain (where it operates Glovo), Poland, Portugal, Romania, Moldova, Austria, Chile, Cyprus, Czech Republic, Ecuador, Greece, Norway, Sweden, and Turkey.

The acceptance period for the offer is scheduled to end on November 5, 2026. If the transaction receives the necessary regulatory and antitrust approvals, it is expected to close during the second half of 2027. Uber has committed to maintaining Delivery Hero's headquarters in Berlin and ensuring independent management through its own board.
