Global food delivery growth and Delivery Hero takeover

Overview

The food delivery sector continues to show resilience, with US platforms like DoorDash and Uber Eats expanding into grocery and SNAP assistance services. In Europe, Delivery Hero is navigating a significant transition amid an ongoing takeover bid by Uber. Following strong second-quarter results, Delivery Hero reported a 17.7 percent rise in revenue to 4.0 billion euros and an 11.3 percent increase in Gross Merchandise Value (GMV) to 13.2 billion euros. Consequently, the company has raised its full-year EBITDA forecast to up to 1 billion euros. Regarding the acquisition, the management and supervisory boards of Delivery Hero have officially endorsed Uber’s takeover bid, valued at approximately €12.77 billion ($14.8 billion). Uber has offered €41.50 per share in cash. As the transaction progresses, major shareholder Prosus has expressed readiness to sell its 17 percent stake to Uber, which already holds an economic interest of over 53 percent through direct holdings and irrevocable commitments. Additionally, Gregory Alexander via Conifer Management recently adjusted his voting interest from 5.07 percent to 4.95 percent. To facilitate the merger and address competitive overlaps, Delivery Hero has reached an agreement to divest operations in 14 markets—including Spain (via Glovo), Poland, Portugal, Romania, Moldova, Austria, Chile, Cyprus, Czech Republic, Ecuador, Greece, Norway, Sweden, and Turkey—to SSW Partners LP for approximately 1.4 billion euros. This transaction is expected to close in the second half of 2027, pending regulatory and antitrust approvals. In leadership updates, John Woyton has been appointed to the supervisory board, effective September 9, 2026, succeeding Scott Ferguson. Woyton will serve on the Audit and Strategy Committees through the 2027 annual general meeting. Uber has committed to maintaining Delivery Hero's headquarters in Berlin and ensuring independent management through its own board. The tender period for shareholders remains active until November 5, 2026.
