UBS faces strategic shifts and scrutiny over Credit Suisse acquisition

UBS is facing strategic shifts involving capital requirements, potential headquarters relocation, and merger possibilities. The bank is currently evaluating options ranging from its Swiss strategy to potential combinations with international institutions, driven by pressure to improve returns on risk-weighted capital as regulatory requirements tighten.

Investigations into the UBS acquisition of Credit Suisse have revealed complexities regarding the write-down of approximately 16.5 billion Swiss francs in Additional Tier 1 (AT1) bonds. While the official narrative cited a ‘viability event’ triggered by state intervention, parliamentary findings suggest the write-down may have been a non-negotiable component required to make the deal attractive to UBS. Documents indicate that UBS had included the AT1 write-down in revised demands as early as March 2023. Furthermore, Credit Suisse had formally contested the write-down before the order was issued, arguing that state measures were intended to address liquidity issues rather than capital deficiencies.
