UniCredit set to control 45% of Commerzbank pending takeover results
UniCredit announced that the results of its extended tender offer for Germany's Commerzbank will be disclosed on 8 July. After the offer closed on 3 July, the Italian bank is estimated to hold between 42 % and 45 % of Commerzbank shares, giving it a de‑facto majority. This stake would allow UniCredit to nominate ten of the twenty members of the supervisory board, including the chair, and to influence the German bank’s management and strategy.
The takeover pressure has raised concerns over the future of Commerzbank’s dividend, with UniCredit signalling that restructuring, IT investment and integration costs could eliminate the current payout. Analysts note that an integration would involve substantial short‑term costs but could generate long‑term cost synergies and a stronger pan‑European banking player.
