UniCredit's bid for Commerzbank faces mounting resistance

Italian banking group UniCredit, led by CEO Andrea Orcel, is in the final week of its takeover offer for Germany's Commerzbank. Shareholders and political figures are voicing strong criticism, focusing on the deal's valuation, the premium offered and the lack of a clear integration roadmap. Commerzbank chair Bettina Orlopp has urged investors to reject the offer, arguing that the premium is insufficient and that the proposed integration plan does not guarantee sustainable value.

Institutional investors have shown hesitancy, with acceptance data indicating that UniCredit controls only about 42.5% of the target shares and that the proportion coming from independent institutional investors is low. German authorities, which hold a 12.11% stake in Commerzbank, are also scrutinising the proposal for possible regulatory hurdles. Separate surveys of German CFOs reveal mixed attitudes toward the transaction, with some executives seeing mergers as standard practice while others remain wary of the specific terms.

The opposition highlights concerns over IT system integration, cost overruns and the overall strategic fit, leaving the outcome of the bid uncertain as the acceptance deadline approaches.
