UniCredit's Tender Offer for Commerzbank Tests EU Banking Union
Italian bank UniCredit has opened a voluntary public tender offer (Ops) for German lender Commerzbank, proposing an exchange ratio of 0.485 UniCredit shares for each Commerzbank share. The offer remains open until 16 June 2026, with the aim of reaching the 30 % threshold required under German law to move beyond a tactical hold.
The transaction is being framed as a practical test of the European banking union. Guido Rosa, president of the Italian Association of Foreign Banks (AIBE), said the deal gauges whether Europe will allow truly transnational banking groups when the target bank is systemic for another member state. The bid raises questions about cross‑border regulatory approval, national sovereignty, and the ability of EU institutions in Brussels to facilitate such mergers.
Market pricing currently values Commerzbank shares above the implied exchange value, adding political and financial pressure to the process. The battle involves stakeholders in Milan, Frankfurt and Brussels, and could shape future integration of Europe’s banking sector.
