Paramount’s $110 billion Warner Bros Discovery takeover cleared by US Justice Department

The U.S. Department of Justice’s Antitrust Division has approved Paramount Skydance’s acquisition of Warner Bros Discovery, a transaction valued at roughly $110‑111 billion. The agency concluded the deal does not threaten competition in streaming, television or film distribution and imposed no divestitures or behavioral conditions.

The merger would combine assets such as HBO, Max, CNN, Warner Bros Pictures, DC Studios, CBS, Paramount Pictures, Nickelodeon and Paramount+ into one of the world’s largest media conglomerates. Paramount argues the combination strengthens competition against dominant streaming platforms like Netflix, Disney+ and Amazon Prime.

Despite the federal green light, the deal still faces potential challenges. State attorneys general in California and New York are preparing antitrust lawsuits, and the Federal Communications Commission is reviewing related foreign‑investment issues. Regulators in the United Kingdom and the European Union have opened investigations, and concerns persist among Hollywood labor groups about possible job cuts and reduced creative diversity.

If completed, the merger is expected to close between late 2026 and early 2027, reshaping the global entertainment landscape.
