Vertiv to acquire Utility Innovation Group for up to $2.6 billion

Vertiv Holdings has agreed to acquire Utility Innovation Group (UIG) in a deal valued at up to $2.6 billion. The transaction includes approximately $1.45 billion in cash at closing, with an additional $1.15 billion in potential earnouts contingent on meeting EBITDA targets over the next 24 months.

UIG specializes in microgrid controls, onsite generation orchestration, and behind-the-meter power architecture. The acquisition aims to address critical power availability constraints facing AI data center developers. By integrating UIG’s technology, Vertiv intends to extend its infrastructure capabilities from the electrical room upstream to the utility interconnect, allowing operators to manage onsite energy storage and generation to bypass grid connection delays.

Separately, the North American Electric Reliability Corporation has issued a Level 3 Essential Action Alert regarding AI data centers. The regulator warned that the rapid, millisecond-scale shifts in electricity demand from these facilities pose significant risks to bulk power system reliability.

In Pennsylvania, developers are also facing local resistance to data center expansion. NorthPoint Development has proposed a $165 million community-benefits package for Hazle Township, which includes $10,000 direct payments to eligible households, to support a 1,300-acre project that was previously rejected.
