American Airlines investment in Azul
Overview
American Airlines has finalized a significant investment in the Brazilian carrier Azul Linhas Aéreas. Following the exercise of warrants and subscription bonuses, the transaction resulted in a capital increase of R$ 512.8 million. This investment includes the acquisition of approximately 7.9% of the airline, with American Airlines receiving roughly 31.84 million ordinary shares to be deposited into Azul’s American Depositary Receipt (ADR) program in the United States.
The deal received unanimous approval from Brazil’s antitrust regulator, CADE. The investment has also triggered changes in Azul’s corporate governance. John Rodgerson resigned from his positions on the board of directors and the strategic committee, though he continues to serve as the company’s CEO. Jeff Ogar, an American Airlines executive responsible for airline alliances, has assumed Rodgerson’s former roles on the board and committee.
