Tata Motors completes takeover of Iveco Group

Overview

Tata Motors has officially completed the initial settlement of its takeover of Iveco Group, establishing the world’s fourth largest commercial vehicle manufacturer by volume. Through its subsidiary TML CV Holdings B.V., Tata Motors secured an 89.42 percent stake in the Italian manufacturer by acquiring 238,157,212 common shares. To finalize the acquisition, the tender offer price was increased from €14.10 to €14.40 per share, resulting in a total transaction value of approximately €3.9 billion.

The transaction marks a transition for Iveco from the Agnelli-Elkann family holding company, Exor, to the Indian automotive firm. The combined enterprise is projected to generate approximately 21 billion euros in revenue, with annual sales of roughly 590,000 units. The new group will employ over 73,000 people and operate across more than 130 countries, utilizing 27 production sites and 25 research and development centers.

Iveco Group will maintain its headquarters in Turin, Italy, preserving its brand identity and industrial presence. The integration is intended to leverage complementary portfolios, combining Tata’s strength in emerging markets and smaller vehicles with Iveco’s expertise in light, medium, and heavy commercial vehicles, as well as advanced electric and hydrogen powertrains. N. Chandrasekaran, Chairman of Tata Sons and Tata Motors, will also serve as the chairperson of Iveco Group.
