Alimentation Couche-Tard takeover bid for Zabka Group

Overview

Canadian retailer Alimentation Couche-Tard initiated a takeover bid for the Polish convenience-store chain Zabka Group.

Initially, the prospect of a planned 100% cash offer caused Zabka Group's share price to fluctuate, closing at 29.26 zł before falling to 27.40 zł. Following this, Alimentation Couche-Tard launched a formal voluntary takeover bid for all shares through its subsidiary, Circle K Polska. The offer was set at 32 PLN per share, representing a 2.3 percent premium over the most recent closing price on the Warsaw Stock Exchange.

The acquisition, which would value Zabka at approximately 32.6 billion PLN (roughly 8.8 billion USD), is expected to be the largest in the history of the Canadian operator. Couche-Tard anticipates the deal will generate approximately 250 million USD in annual savings within three years. If the company secures at least 95 percent ownership, it may seek to delist Zabka from the stock exchange.
