Emera and Canadian Utilities merger
Overview
Emera and Canadian Utilities have announced a definitive all-share merger agreement to create one of North America’s largest utility companies. The transaction, valued at approximately C$72 billion in enterprise value, is described as the largest merger in Canadian history between two domestic firms.
The combined entity will operate under the Emera name and is expected to serve approximately six million customers across Canada, the United States, and international markets. Under the terms of the deal, existing Emera shareholders are projected to own roughly 60% of the combined company.
The arrangement involves the acquisition of all outstanding shares of both Canadian Utilities and ATCO. As part of the structure, ATCO shareholders will receive Emera shares and a stake in a newly created public company, New ATCO, which will focus on industrial services such as housing and defence.
While the public company headquarters will remain in Halifax, the merged entity will maintain operational offices in Calgary, Edmonton, Tampa, and Perth, Australia. The companies aim to complete the merger in the second half of 2027, pending regulatory, court, and shareholder approvals.
