German Mittelstand succession challenges

Overview

Germany’s small and medium-sized enterprises (Mittelstand) are facing a critical shortage of successors due to demographic shifts and strategic planning gaps.

Reports indicate that business transfers reached a historical low in 2024, with the average age of outgoing owners rising to 64 years. In regions such as Bavaria, the challenge is acute, with nearly 25,000 companies expected to require handovers by 2031, potentially affecting over 100,000 employees. This demographic imbalance is further complicated by a decline in female successors, which fell below 20 percent in 2025.

Beyond demographic trends, the lack of succession planning poses a significant strategic risk. Approximately 109,000 medium-sized companies are expected to seek succession arrangements annually through 2029. However, many owners view dependency on a single individual as a high risk, and one in four companies is considering a deliberate closure upon the current owner's retirement. Experts note that the difficulty in finding successors stems from the need for entrepreneurial understanding and financing, often exacerbated by owners failing to initiate planning until retirement is imminent.
