Madison Air Solutions acquisition of ebm-papst

Madison Air Solutions has entered a definitive agreement to acquire the German airflow technology specialist ebm-papst. While initial reports estimated an enterprise value of approximately 5.1 billion euros, the deal is now valued at approximately $5.4 billion. Madison Air expects this value to reduce to $5 billion after accounting for anticipated tax savings.

The acquisition is a strategic move to meet rising demand for thermal management and cooling solutions in data centers, fueled by the expansion of AI infrastructure. Through this deal, Madison Air Solutions seeks to utilize ebm-papst’s expertise and patent portfolio to strengthen its presence in European and Asian markets, while ebm-papst aims to bolster its presence in the United States. The three shareholder families of ebm-papst—Sturm, Ziehl, and Philippiak—will fully exit the company. Despite the change in ownership, the company’s headquarters, research, development, and production facilities are expected to remain in Mulfingen, Germany.

To finance the acquisition, Madison Air Solutions Corp has announced a $2.25 billion private placement of Class A shares. To stabilize the market following the issuance of approximately 90 million new shares, investors including Larry Gies and Madison Solutions have entered into one-year lock-up agreements. The share placement is expected to close on September 1.

Following the announcement, Madison Air's stock experienced significant volatility, dropping as much as 27% over a 30-day period. Investors have expressed concerns regarding increased financial leverage and potential equity dilution. Madison Air aims to reduce its net debt to 2.5 times EBITDA within two years of the deal's completion. The transaction remains subject to regulatory approvals, with completion anticipated by the end of 2026.
