Porsche has moved toward restructuring its business portfolio by divesting its consulting subsidiary, MHP Management- und IT-Beratung GmbH. Initial reports indicated that Porsche was considering the sale of MHP to private equity investors or strategic bidders as part of a broader Volkswagen Group review to prioritize capital efficiency. Following these reports, Porsche AG reached an agreement to sell MHP to the India-based Tata Consultancy Services (TCS). In a finalized agreement, TCS will acquire 100% of MHP through its Netherlands-based subsidiary for an enterprise value of approximately €320 million ($430 million). The deal, which is expected to close within three to four months pending regulatory and antitrust approvals in the European Union, Germany, and Romania, involves MHP—a firm employing roughly 4,500 people globally with a significant presence in Romania—operating as an independent brand under the TCS umbrella. The sale is a component of Porsche’s ‘Sportwagenschmiede 35’ strategy, designed to refocus resources on its core automotive business and reduce fixed costs. As part of the transaction, Porsche and TCS have established a five-year strategic partnership valued at €1.25 billion. This collaboration includes the creation of an ‘AI Mobility Centre of Excellence’ to accelerate the integration of artificial intelligence across Porsche’s value chain, including manufacturing, engineering, operations, and customer experience. Dr. Michael Leiters, Chairman of the Executive Board of Porsche AG, stated that the move combines Porsche’s automotive expertise with TCS’s digital and AI capabilities to increase efficiency and competitiveness. While MHP transitions to TCS, it will continue to serve as a key digital partner for Porsche to support its ongoing digital transformation. Legal counsel for Porsche AG during the sale process was provided by Linklaters. While JPMorgan indicated the sale is expected to have a ‘minor impact’ on Porsche, some analysts have raised questions regarding the long-term implications of outsourcing specialized digital expertise.
