By the end of June Raízen disclosed a R$27.1 billion net loss for FY2025/26, driven by R$22.5 billion in asset‑impairment provisions, pushing gross debt to R$71.8 billion. President Nelson Gomes said the firm expects the court‑approved extrajudicial recovery plan to be confirmed by September, reaffirming the R$3.5 billion Shell injection, a potential R$500 million contribution from Aguassanta, and support from roughly 80 % of creditors. The fuel‑distribution arm posted a 35.5 % rise in adjusted EBITDA, while the bio‑energy segment fell. In July the company continued its planned asset disposals, selling the Caarapó sugar mill in Mato Grosso do Sul to Adecoagro for roughly R$760 million. These transactions are intended to improve liquidity but are not expected to materially lower leverage.
On 30 July the São Paulo Court homologated Raízen’s extrajudicial recovery plan, authorising the restructuring of about R$61.4 billion of debt. The proposal garnered 81.6 % support from unsecured creditors and faced no objections. It calls for a capital increase of R$3.5‑R$4 billion funded by Shell Brasil and Aguassanta, with roughly 45 % of restructured credits to be converted into equity units at R$0.50 per unit and the remaining 55 % to be refinanced through new debt instruments. The plan also includes the separation of the fuel‑distribution and bio‑energy businesses and the divestment of non‑strategic assets, keeping the restructuring on track toward the March 2027 debt‑to‑equity conversion deadline while ownership negotiations with IG4 Capital and other bidders continue.
