Rheinmetall and MSC acquisition of Mangalia Shipyard
Overview
Rheinmetall Real Estate România SRL has acquired the Mangalia Naval Shipyard from the insolvent Damen Shipyards Mangalia for approximately 138 million euros, excluding VAT. The sale was finalized following a judicial liquidation process managed by liquidator CITR, after five total auction attempts. The shipyard is a strategic asset in Romania, serving as the only domestic facility capable of constructing and repairing warships.
Under the European SAFE Program, the site is expected to fulfill a 920 million euro contract to build four military vessels for the Romanian Naval Forces by 2030, including two 96-meter offshore patrol vessels and two 43-meter diver support vessels. The partnership between German defense company Rheinmetall and Swiss shipping firm MSC aims to establish a dual-use production facility capable of simultaneous civil and military shipbuilding. To support this, the site will be divided into specialized sectors and security zones.
The transaction faces regulatory hurdles, as completion is contingent upon Rheinmetall receiving mandatory approvals from the Romanian Competition Council and the Commission for the Examination of Direct Investments (CEID).
The acquisition has triggered intense political debate. While some officials view it as a strategic victory, others, including former Prime Minister Victor Ponta and Senator Felix Stroe, have criticized the valuation. Critics note that the 138 million euro payment is intended to settle debts to the Dutch company Damen, meaning the Romanian state, which held a 51% stake, will not receive direct proceeds. Despite the news, Rheinmetall's stock saw a slight decline of 1.49 percent as investors monitor how these capacity increases will impact liquidity.
