Shell acquisition of ARC Resources

Entities: Bay Runner Twin pipeline · Rio Grande LNG · Michael Kennedy · ARC Shareholders · Shell Canada Limited

Overview

ARC Resources shareholders approved Shell’s $22 billion cash‑and‑share acquisition at a special meeting on 14 July 2026, clearing the way for a third‑quarter closing. On 29 July 2026 Shell plc and its subsidiary Shell Canada reiterated that the deal, which assumes ARC’s debt, exchanges ARC shares for a mix of Shell stock and cash and carries a roughly 27 % premium.

Regulatory clearances have now been secured under Canada’s Competition Act, the Canada Transportation Act, and the U.S. Hart‑Scott‑Rodino Antitrust Improvements Act, and the Alberta Securities Commission granted exemptive relief for Shell’s UK and Netherlands share‑buyback programmes. Final approval under Canada’s Investment Canada Act remains pending, and an Alberta court hearing is scheduled before completion.

ARC’s Q2 2026 results show average production of 390,465 barrels of oil‑equivalent per day—a 9 % year‑over‑year rise—funds from operations of $816 million, cash flow from operating activities of $872 million, and net income of $353 million ($0.62 per share). Natural‑gas prices averaged $2.52 per Mcf, about 67 % above the AECO 7A index.

After the transaction closes, ARC will be delisted from the Toronto Stock Exchange and its Montney gas assets, roughly 370,000 barrels of oil‑equivalent per day, will be integrated into Shell’s North‑American portfolio. Former ARC shareholders will receive Shell dividends as the combined entity pursues further development of its integrated gas business.

No additional material developments have been reported since the last update.
