Weil, Gotshal & Manges dissolution
Overview
The elite law firm Weil, Gotshal & Manges has entered a period of severe instability marked by a leadership crisis and a significant exodus of high-profile partners. Since the beginning of the year, approximately 30 partners have departed for rival firms, including Michael Aiello, the head of the M&A practice, who moved to Cravath, Swaine & Moore. Internal tensions were reportedly linked to leadership under executive partner Barry Wolf, dissatisfaction with the firm’s vision regarding artificial intelligence, and competitive compensation issues. Additionally, Ramona Nee, who was slated to become the sole chair in January, declined the position.
Following these developments and previously failed merger talks with Willkie Farr & Gallagher, the management committee of the 95-year-old firm has officially recommended that partners pursue an orderly wind-down of the firm’s operations. The firm, which employs approximately 1,200 lawyers worldwide and reported roughly $2.1 billion in revenue last year, does not plan to file for bankruptcy. Management has stated the firm remains debt-free with sufficient liquidity to cover partner withdrawals and intends to continue serving clients during the transition.
While much of its practice is expected to be absorbed by competitors on a team-by-team basis, partners are expected to vote on the management committee’s recommendation in the coming days. The firm is utilizing restructuring specialists to manage its dissolution.
