Wittington Investments acquisition of Boots

Overview

Wittington Investments, the holding company for Canada’s Weston family, has entered a definitive agreement to acquire the British pharmacy and beauty retailer Boots from Sycamore Partners and the Pessina family. The deal is valued at approximately £7 billion ($8.9 billion), including assumed debt.

The acquisition encompasses Boots’ retail operations in the UK and Ireland, Boots Opticians, the No7 Beauty Company, and franchised businesses in Thailand. Sycamore Partners and the Pessina family will retain ownership of other interests, such as Farmacias Benavides in Mexico and Alliance Healthcare Deutschland.

Wittington is partnering with Toronto-based Fairfax Financial Holdings on the transaction, though Wittington will maintain operational control. Upon completion, Galen Weston is expected to serve as chairman. The company intends to invest in store upgrades, digital improvements, and the expansion of healthcare services.
