Brazilian corporate finance developments

Entities: Banco Santander · Santander Brasil · New York Stock Exchange · Ana Botín · Santander Spain

Overview

In July 2026 Brazil’s corporate finance scene featured two notable moves. Car‑rental firm Movida posted its strongest quarterly profit in four years, with net earnings of R$ 135.6 million in Q2, revenue of R$ 4 billion, EBITDA up 22 % to R$ 1.7 billion and a net‑debt‑to‑EBITDA ratio at a five‑year low after a R$ 750 million capital injection from BNDES Par.

Also in July, Banco Santander launched a voluntary public tender offer to acquire the remaining roughly 10 % of its Brazilian subsidiary, Santander Brasil, that it does not already own. Announced on 31 July, the €1.908 billion proposal offers a 15 % premium to the reference price, with each ordinary or preferred share convertible into 0.2028 BDRs (or ADSs) and each unit into 0.4056 BDRs. Executive President Ana Botín said the deal reinforces Santander’s long‑term commitment to Brazil and is expected to lift earnings per share by about 0.5 % from 2028. The offer, made through exchange offers in Brazil and the United States, does not intend to delist the ADS and remains subject to Brazilian and U.S. regulatory approvals.
