Brazilian football clubs SAF transitions

Overview

Several Brazilian football clubs are transitioning to the Sociedade Anônima do Futebol (SAF) model, navigating various legal, financial, and structural challenges.

In São Paulo, clubs like Guarani and Independente have moved toward this structure. Guarani is expected to adopt the model under Roberto Graziano, while Independente has entered a 10-year agreement with Marcelo Pedroza, granting the SAF a 90% stake to fund improvements such as a team bus and stadium renovations. Additionally, Comercial Futebol Clube is progressing with a R$ 300 million SAF project involving Alliance Football. Under businessman Eliel Fraga, the project aims to acquire 90% of the club and prioritize renovating the Doutor Francisco de Palma Travassos stadium lighting.

Other transitions face hurdles. Corinthians' negotiations have stalled due to board communication issues and upcoming elections. Figueirense SAF has disputed claims from Edson Silva, stating he has failed to present “concrete investors or viable financial solutions.”

Legislative clarity has been reinforced by Law 15.427/2026, which separates traditional clubs from their SAF entities regarding old debts. The original club remains responsible for pre-existing obligations, while the SAF’s assets are protected from seizure provided it maintains specific revenue and dividend payments. The Superior Labor Court (TST) has supported this, ruling that the SAF is not jointly liable for labor contracts terminated before its constitution, though it succeeds the club in existing contracts. Amidst these shifts, Resende Futebol Clube has approved its own SAF implementation to attract investors, and América Futebol Clube has reorganized its leadership, moving Vitor Arteiro to Financial Director to focus on economic sustainability.
