Ennoconn acquisition of Kontron stake
Overview
Ennoconn Corporation, a subsidiary of the Taiwanese Foxconn group, initiated a mandatory tender offer for the Austrian technology company Kontron AG. By the end of the acceptance period on 30 July 2026, Ennoconn had subscribed approximately 12.3 million shares, representing about 19.5% of voting rights, which at that stage indicated the company would not hold a majority.
Following regulatory clearance, including approval from the German Federal Ministry for Economic Affairs and Climate Action, the transaction was completed. Ennoconn ultimately acquired a 48.36% stake in Kontron, making it the largest single shareholder despite not holding an absolute majority of voting rights.
Under the terms of the strategic alliance, Kontron will continue to operate independently with its existing management team led by CEO Hannes Niederhauser. The partnership aims to target synergy effects of approximately 40 million euros by leveraging the manufacturing capacities and supply chains of Ennoconn and Foxconn. Ennoconn has stated it does not currently plan to increase its stake further.
