Thoma Bravo acquisition of Accelerant
Overview
Private equity firm Thoma Bravo has agreed to take the Atlanta-based insurance marketplace Accelerant private in an all-cash transaction valued at more than $4 billion. The deal, which follows Accelerant’s New York listing approximately one year ago, offers shareholders $20.25 per share. This price represents a 49% premium over the company’s previous closing price.
The transaction is expected to close in the first half of 2027, pending insurance regulatory approvals. If the closing is delayed, shareholders will receive a ticking fee accruing at a rate of 6% per annum. Accelerant, which uses data to connect niche underwriters with institutional investors, intends to move away from public market pressures. Altamont Capital Partners and the company’s founders plan to retain equity ownership alongside Thoma Bravo.
