AD Ports Group corporate restructuring and expansion

Overview

AD Ports Group has undergone significant corporate restructuring and international expansion. In early September 2026, L’IMAD, acting through its subsidiary ADQ, cleared conditions for a voluntary cash tender offer to acquire the remaining 24.58 percent stake in AD Ports Group. The offer, valued at approximately $2.13 billion, aimed to consolidate ownership after ADQ already held a 75.42 percent stake.

Following these ownership developments, the company finalized its acquisition of Brazil’s Corredor Logística e Infraestrutura (CLI). Valued at an enterprise value of approximately $835 million (AED 3.1 billion), the transaction represents the largest acquisition in the Group’s history and marks its first strategic entry into the South American market. The deal was completed following regulatory and antitrust approvals from Brazil’s National Waterway Transportation Agency (ANTAQ) and the Administrative Council for Economic Defense (CADE). CLI was acquired from funds managed by Macquarie Asset Management and IG4 Capital.

Through its international arm, Noatum Ports, AD Ports Group intends to integrate CLI’s facilities—including terminals at the ports of Santos and Itaqui—into its global operations. CLI Sul at the Port of Santos handles sugar, corn, and soybeans, while CLI Norte at the Port of Itaqui serves as a key logistics corridor in Brazil’s ‘Arc of the North’. The Group plans to establish direct trade routes between Brazil and the Abu Dhabi Food Hub via Khalifa Port to facilitate the movement of agricultural commodities.
