Azores Airlines privatization process
Overview
The privatization of Azores Airlines is underway as part of a restructuring plan mandated by the European Commission following a €453.25 million state aid package to Portugal. The process involves the sale of at least a 75 percent stake in the airline by its state-owned parent company, SATA Holding, to address significant debt and financial instability, which included a net loss of €53.9 million in 2025 and a net debt of €498.9 million.
Following a review of eight initial expressions of interest, SATA Holding has invited six candidates to submit non-binding proposals by September 21, 2026. These bidders include a diverse group of airlines, financial investors, and sector-related companies from both national and international markets. Among the candidates is the Canary Islands-based operator Binter, which noted that any potential progress depends on financial viability and strategic alignment, admitting the airline currently lacks direct strategic synergies with its group.
To qualify, candidates must provide a financial proposal in euros detailing the acquisition price, capitalization contributions, and funding methods. They must also submit a technical proposal featuring a strategic plan to strengthen the Azores aviation hub or promote regional connections.
Following the receipt of proposals, SATA Holding will coordinate an evaluation report for the independent privatization supervisor, economist Augusto Mateus, who will provide a formal opinion to the board of directors. The restructuring plan includes converting at least €353.1 million of credits into equity. To protect employees, the tender specifications include a clause prohibiting collective dismissals and job losses for 30 months. The sale process is expected to conclude through direct negotiations by the end of 2026.
